What is a General Partnership in Ontario?

What should one know about General Partnership vs Limited Partnership in Canada? Here is an overview of the key legalities and requirements.

Important information. The registry of beneficial owners in Canada is publicly available, but only upon payment of a fee. The nominee services in Canada are regulated and legitimate.

Organizational form of business

Ontario GP is a general partnership in the province of Ontario. The actual presence of the business at the place of incorporation is a mandatory requirement, which includes having a postal and registered address in Canada.

Authorized capital

Not required.

GP Director in Ontario

Not appointed. The governing role is attributed to the partners.

GP Secretary 

When establishing a General Partnership in Ontario, Canada, a secretary is not required by law, but may be appointed at the discretion of the partners.

Reports and audits for Ontario GPs

A GP in Canada is not required to keep books and records and file reports and tax returns, or to be audited. However, it is still required to keep accounts. 

Note, you may have to submit a Statement of Partnership Income form T5013 in certain cases:

  • If the size of income and expenses of the Ontario GP exceeds 2 million CAD in the reporting period, or the GP assets exceed 5 million CAD;
  • The partnership is tiered (has another partnership as a partner or is itself a partner in another partnership;
  • The partnership has a corporation or a trust as a partner;
  • The partnership invested in flow-through shares of a principal business corporation that incurred Canadian resource expenses and renounced those expenses to the partnership;
  • The Minister of National Revenue requests one in writing.

Taxation of General Partnerships in Canada

Income drawn from foreign sources is not subject to corporate taxation in Canada. GP income tax in Ontario is paid by each partner in the country of their tax residency on an individual basis in accordance with the established requirements.

GP partners in Ontario

The minimum number of GP partners in Ontario is two, which can be either natural persons or legal entities (foreign founders are allowed).

In Ontario, a General Partnership requires at least two partners—these can be individuals or legal entities, and foreign founders are allowed. This structure offers flexibility, especially for non-residents looking to establish a business presence in Canada.

If you’re setting up a GP as a non-resident, you’ll need a Canadian resident partner listed on the formation documents. This resident partner typically acts as a nominee, holding the majority interest on paper. Their role is crucial for simplifying processes like opening a Canadian bank account and operating the business locally without delays.

Meanwhile, the foreign founder is included as the second partner and is the actual beneficial owner of the business. While not publicly listed as such, they are the one who ultimately controls and benefits from the partnership.

To formalize this arrangement, the nominee and the foreign founder sign a private agreement that outlines the nominee’s role and ensures the foreign founder retains full economic rights to the business.

Documents required to register a GP in Ontario, Canada

In order to register a General Partnership in Ontario, you need to prepare the following documents:

  • Application to register a partnership in Canada;
  • Proof of payment of the government fee;
  • Resolution of the General Partnership;
  • Partnership Agreement;
  • Copy of each partner’s travel passport, which must be valid for at least 6 months from the date of application for registration;
  • Address of residence, which can be confirmed by a bank statement, an extract from the register of residents̆, or a copy of the utility bill. Such documents must not be older than three months.
  • A photograph of the natural person partner of the GP with their passport held in their hands for identification purposes;
  • If the partner is a legal entity, the Articles of Association;
  • Name of the company in Canada, which cannot include names of founders and words that coincide with specialized or governmental organizations, including “bank”, “government”, “trust”.

All documents need to be made in English or translated into English and apostilled.
